SMB VIG offers investment opportunities in the acquisition of established and profitable small and mid-sized businesses.

No. Investors have complete discretion to participate only in the opportunities that meet their investment preferences.

Only accredited investors, as defined by the SEC, may participate. This includes individuals who meet at least one of the following:

  • Net worth over $1 million (excluding primary residence)
  • Annual income over $200,000 ($300,000 for joint filers) for the past two years
  • See SEC Accredited Investor Criteria
  • No annual management fees
  • 20% carried interest on profits, subject to a 16% IRR hurdle rate
  • A modest administrative fee, shared across investors, covers SPV setup, maintenance, tax filings, and distributions
